Terms of Service

The terms that govern your use of Inference Agents.

1. The Parties and Agreement

These Terms of Service ("Terms") govern your access to and use of the Inference Agents AI compliance infrastructure service ("Service") provided by Inference Agents Ltd, a company registered in England and Wales ("we", "us", "our").

By subscribing to, accessing, or using the Service, you ("Customer", "Firm", "you") agree to these Terms in full. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. Description of Service

Inference Agents provides AI compliance infrastructure that operates as a proxy layer between your AI tools and AI model providers. The Service:

  • Intercepts AI requests from your tools and routes them through our compliance layer
  • Evaluates requests and responses against your configured compliance policies in real time
  • Writes a cryptographically chained, tamper-evident audit log of every AI interaction
  • Forwards approved requests to the relevant AI model provider
  • Provides audit export functionality for regulatory review purposes

3. Early Access

The Service is currently available under an early access programme. During early access:

  • Features and pricing may change with reasonable notice
  • Service Level Agreements are not guaranteed unless separately agreed in writing
  • We may limit access to a defined number of firms
  • Early access participation does not create any obligation on either party to enter into a paid subscription

4. Subscription and Payment

4.1 Usage-based billing

Our pricing is based on the number of AI events processed through our proxy each month. An "AI event" is any single interaction routed through the Service — including prompts sent, tool calls executed, documents analysed, and responses received.

4.2 Billing

Fees are billed monthly in arrears based on actual usage. You will receive an invoice for the previous month's usage. Payment terms are 14 days from invoice date.

4.3 Overages

Usage above your plan threshold is billed at the standard per-event rate for your plan. We will notify you when you approach your monthly limit. We will not interrupt the Service for overage usage.

4.4 Price changes

We will provide at least 30 days' written notice of any price changes. Your continued use of the Service after the notice period constitutes acceptance of the new pricing.

5. Data Processing

5.1 Your data

When you use the Service, AI requests and responses from your firm — which may include personal data relating to your clients — are routed through our infrastructure. You remain the data controller for all personal data processed in connection with your clients. We act as your data processor.

5.2 Data Processing Agreement

Our processing of personal data on your behalf is governed by our Data Processing Agreement, which forms part of these Terms. By using the Service, you accept the terms of the Data Processing Agreement. Please contact us at hello@inference-agents.com to request a copy.

5.3 Audit log retention

Audit logs are retained for a minimum of 24 months as standard, in line with EU AI Act Article 19 requirements. Enterprise plans support custom retention periods. You may request deletion of audit logs subject to any applicable legal retention obligations.

5.4 No use of your data for training

We do not use your AI interaction data or client data to train AI models, improve third-party AI systems, or for any purpose other than providing the Service to you.

6. Your Responsibilities

You are responsible for:

  • Ensuring your use of the Service complies with all applicable laws and regulations, including those of your regulatory body
  • Configuring compliance policy rules accurately to reflect your firm's obligations
  • Maintaining appropriate access controls to your Inference Agents account
  • Ensuring that your use of AI tools in connection with the Service complies with your obligations to your clients
  • Not using the Service for any unlawful purpose or in a manner that infringes the rights of any third party

The Service provides compliance infrastructure. It does not constitute legal, regulatory, or compliance advice. You remain solely responsible for ensuring your firm meets its regulatory obligations.

7. Intellectual Property

We retain all intellectual property rights in the Service, including our software, algorithms, audit log format, and compliance rule engine. These Terms do not grant you any rights in our intellectual property other than the limited right to use the Service as described herein.

You retain all rights in your firm's data, configurations, and audit log contents.

8. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent, except as required by law or regulation. Our obligation of confidentiality extends to all client data that passes through the Service.

9. Warranties and Disclaimers

We warrant that we will provide the Service with reasonable skill and care. We do not warrant that:

  • The Service will be uninterrupted or error-free
  • The Service will detect all compliance issues or guarantee regulatory compliance
  • Audit logs will be accepted as sufficient evidence by any particular regulator

The Service is provided to assist your compliance efforts. It is not a substitute for professional compliance advice or your firm's own compliance processes and oversight.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability to you in connection with the Service shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.

We shall not be liable for any indirect, consequential, special, or punitive damages, including loss of profits, loss of data, loss of goodwill, or regulatory fines, even if advised of the possibility of such damages.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11. Termination

Either party may terminate the Service on 30 days' written notice. We may terminate or suspend the Service immediately if you breach these Terms or if required to do so by law.

Upon termination, you will retain access to your audit logs for 30 days to allow export. After that period, logs will be deleted in accordance with our data retention schedule, unless you have separately agreed extended retention.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' written notice of material changes. Your continued use of the Service after the notice period constitutes acceptance of the updated Terms.
